Welcome to www.bwgcircles.com or its affiliates (“Circles”) which is operated by or on behalf of BWGworks, 171 Tras Street #03-173/177, Union Building Singapore. These Terms and Conditions are Circles’ copyrighted intellectual property. Any use by third parties, even of extracts of the Terms and Conditions, for the commercial purposes of offering goods and/or services is not permitted. Infringements may be subject to legal action. These terms and conditions include Membership and Partnership Code of Conduct and Purchase Terms to be abided accordingly.

Definitions

In this terms and conditions:

“Circles” refers to the platform “BWG Circles” as follows.

The criteria used for Circles Membership is derived from Circles’s efforts to create a start-up friendly ecosystem platform to INSPIRE PEOPLE, CREATE VALUE and DELIVER WEALTH TO ALL. By seeking, accepting and renewing Membership in Circles, the Member or Membership applicant represents that it is committed to the mission of Circles.

“Partners” refers to the following (that Circles will work with) but not limited to: Community Partners, Platform Partners, Commercial Partners, SMEs, and Individual Partners.

"Members" refers to individuals or organizations that successfully signed up for Membership on Circles.

These Membership Types are pre-assigned to any individual or company and are not self-selected.

Membership Applications

All applications for Membership are to be made by completing the application form on the Website. By submitting an application for Membership to Circles, the applicant is deemed to have read and agreed to these terms and conditions, and represents and warrants;

(i) (where the applicant is an individual) that he/she is at least 18 years of age;
(ii) (where the applicant is an organisation) that it is an organisation duly incorporated or registered and validly existing under its laws
(iii) that it is capable of entering into and performing legally binding contracts under applicable law; and
(iv) that all information submitted to Circles is complete, accurate and up to date.

To complete a Membership application, the applicant must make payment of the applicable Membership fee in accordance to the Type of Membership applicable.

Circles shall not be obliged to process a Membership application until payment of the applicable Membership fee is received by Circles.

Circles will assess each application for Circles Membership based on the Circles Eligibility Guidelines.

Circles reserves the right at all times and in its absolute discretion to determine the number of Members in Circles and may accept or reject Membership applications at its discretion.

Member Responsibilities

Each Member shall be bound during the continuance of its Membership by these terms and conditions including any amendments made subsequently by Circles.

Each Member is solely responsible for maintaining the confidentiality of their Membership number, login details and passwords, and for all activities that occur under their Membership number, login details and passwords, whether by themselves or anyone else using their login details and passwords.

Each Member shall notify Circles immediately in writing of any unauthorised use of its Membership details or account.

Each Circles Member shall ensure that they have permissions or consents required to include material or links on the website.

Membership is to be renewed annually.

Members Conduct

All Members shall conduct their activities with transparency, responsiveness, honesty and fairness.

All Members shall, amongst other things:

i) Comply with all applicable legal requirements in Singapore;
ii) Practice and promote ethical behaviour;
iii) Not use Circles’s corporate logo unless permitted by Circles;
iv) Not misrepresent its relationship with Circles;
v) Not disclose any confidential or private information; and/or
vi) Not malign, defame or unfairly criticise another Member.

Membership Fees and Period

Membership fees for each Membership type are stated on the Website and are payable annually.

Annual Membership begins on the date of Membership Approval after payment.

Circles may review the Membership fees from time to time and reserves the right to adjust the Membership fees where it is considered necessary. Any changes to the Membership fees will be notified to Members prior to implementation.

For new Members, Membership fees shall be paid upon Acceptance of Application after submission of the application for Membership to Circles. For existing Members who wish to renew their Membership, Membership fees shall be paid within 30 days of expiry of the last Membership year, and any failure to do so may result in termination of the Membership.

Partners’ Ethics Policy

Circles believes that trust fosters long-term relationships which are built through honesty, openness and fair play. All Partners, including those featured on Circles’ website, have the right to expect and the responsibility to ensure that their business is conducted with high ethical standards and legal principles.

Circles’ policy is to operate within applicable law with the following additional terms:

i) Discrimination or harassment of any kind will not be tolerated;
ii) As a matter of policy, Circles do not make political donations;
iii) No bribes shall be given or received;
iv) Conflicts of interest must be avoided;
v) Circle’s aim to be a responsible partner within our community; and
vi) Members/ Partners are encouraged and supported to report, in confidence, any suspected wrongdoing.

All Partners will conduct their businesses with Members/Partners of Circles in a professional manner consistent with the Circles’ philosophy, values and standards of business conduct.

Confidentiality

Each Member agrees to keep confidential all Confidential Information which it may receive from Circles in the course of its Membership or that may come into its knowledge or possession as a result of communications between the Member and Circles.

In the event that Circles discovers that a Member has made or intends to make (whether directly or indirectly) any unauthorised disclosure of the Confidential Information, Circles shall be entitled to take out an injunction to restrain the Member from making such disclosure.

In addition or in the alternative, Circles shall be entitled to exercise such legal and equitable remedies as are available in respect of the breach of these terms and conditions and to further protect the Confidential Information.

For the purposes of this paragraph, “Confidential Information” means any information relating to the business and affairs of Circles that is not generally available to the public and shall include, without limitation:

i) Information of whatever nature relating to the business, finances, assets, liabilities, dealings, transactions, know-how, employees, Members, customers, suppliers, agents, processes or affairs of Circles; and
ii) Information which is expressly indicated to be confidential or is imparted by Circles in circumstances importing an obligation of confidence.

Collection of Personal Information

Circles request different types of Personal Information from you and your company or others when you join as Members.

Circles may collect the following categories of information:

i) Contact Information and other Identifiers, including your name, mailing address, phone number, email address, and other information that enables us to contact you; and
ii) Professional and Employment-Related Information, including your company name, title, role, team, and other information about your profession;
iii) Payment information, including your credit or debit card details, bank account information, and payment or other information required when you make a purchase.

Marketing Communications

Opting-Out of Marketing Communications: Circles provide a means to unsubscribe in our marketing-related email communications. Note that transaction-related emails regarding Products or services that you have requested will continue sending following an unsubscribe.

Circles may also need to send you certain communications regarding the Membership, and you will not be able to opt out of those communications, e.g., communications regarding updates to our Terms of Use or this Policy. If you no longer desire to be contacted by us, you must terminate your Membership with Circles.

Collaboration: Circles do not sell your Personal Information to third parties for their direct marketing purposes. However, Circles may partner with other organizations to run events or programs so the Personal Information and other information that you provide to sign up or participate in that event or program will be available to that organization, and you may receive emails or other communications from it after the event. Please refer to that organization’s privacy policy for information on how to opt-out of its communications.

Suspension or Termination of Membership

A Member may terminate its Membership at any time by giving 30 days written notice to Circles.

Circles may suspend or terminate a Membership for any of the following reasons:

i) If the Member fails to pay the applicable Membership fee within 30 days of taking up Membership or expiry of a Membership year;
ii) If the Member was engaged and/or is engaging in any illegal or undesirable activity;
iii) if the Member is in material breach of these terms and conditions; and
iv) if the Member has acted and/or is acting in a manner prejudicial to the interest of Circles.

Notwithstanding the foregoing, Circles may suspend or terminate a Membership at any time without having to give any reasons or notice.
Membership fees will not be refunded if Membership is terminated for whatever reason before the end of a Membership year.

Any Member whose Membership has expired or been suspended or terminated will cease to enjoy Membership benefits.

A Member whose Circles Membership has expired or been suspended or terminated will be delisted and shall immediately discontinue all use of the Logo.

Circles shall not be liable for any loss or damages whatsoever arising from the expiry, suspension or termination of any Membership.

Personal Data Protection

Circles’ Privacy Policy may be amended, supplemented and substituted from time to time. It is incorporated by reference and forms part of these terms and conditions and shall apply to all personal data that is provided to Circles under these terms and conditions or which Circles obtains from other sources or which arises from a Member’s relationship with Circles.

By submitting personal data to Circles, the Member or the Membership applicant (as the case may be):

i) Consents to Circles’s collection, use, processing and disclosure of such personal data in accordance with Circles’s Privacy Policy and these terms and conditions.
ii) Warrants, in the case of personal data belonging to any individual other than the Member or Membership applicant, that it has obtained the individual’s prior consent to such collection, use, processing and disclosure of the individual’s personal data by Circles in accordance with Circles’s Privacy Policy and these terms and conditions. Members are encouraged to check on Circles’ T&Cs for each visit to Circles site or our social media channels.

In addition to the purposes set out in Circles’s Privacy Policy, Circles may collect, use and disclose the information (including any personal data) provided under these terms and conditions to:

i) assess and process the application for Membership;
ii) administer the Membership with Circles;
iii) provide benefits, support, services and information offered under the Membership and/or requested by a Member;
iv) manage and facilitate the business and administrative operations of Circles and complying with internal policies and procedures; and/or
v) comply with applicable rules, laws and regulations, codes of practice or guidelines or to assist in law enforcement and investigations by relevant authorities.

Each Member shall inform Circles of any changes to its information, as well as of any new circumstances which might be relevant to the Member’s relationship with Circles as soon as practicable and within 30 days of occurrence of such change.

Each Member shall notify Circles if such Member is providing Circles with information (such as personal or customer information) which must be handled in accordance with specific regulatory requirements.

Circles Members may access, change, add or delete any information on themselves held by Circles may do so through the Members portal of the Website. Other Members may do so by contacting Circles at members@bwgcircles.com.

Hyperlinks

Circles are not responsible or liable for the availability or content of any other Internet site (not provided by us) linked to or from our website.

Access to any other Internet site is at your own risk. If you create a link or frame to our website, you do so at your own risk.

Circles reserve the right to object or disable any link or frame to or from our website.

Third Party Content

Third party content may appear on the website or may be accessible via links from the website.

Circles shall not be responsible and assumes no liability for any infringement, mistakes, misstatements of law, defamation, libel, slander, omissions, falsehood or profanity in the statements, opinions, representations or any other form of content contained in any third party content appearing on the web site.

Restrictions on Use of Materials

No material from this website (marketing images, photographs, images and information etc.) shall be reproduced, republished, uploaded, posted, transmitted or otherwise distributed in any way without the prior written consent of Circles.

Graphics and images on this web site, including the Circles logo and related images, are protected by copyright and may not be reproduced or appropriated in any manner without prior written consent.

Modification of any of the materials or use of any of the materials for any other purpose will be a violation of Circles’ copyright and other intellectual property rights.

Publicity

Each Member agrees to participate and be featured in publicity materials and social media in relation to Circles, and consents to the use of its photographs, images and information for the purposes of promoting the objectives of Circles.

Purchase Terms

Please read these Purchase Terms carefully before ordering Products online from the Website.

i) Application of Terms

These Purchase Terms apply to all offers and contracts relating to the sale and delivery of Products by Circles. That is to say, you agree to these Purchase Terms, when you (i) order anything from the Website, (ii) order anything at any web page directly connected to the Website or (iii) when you accept an offer from us. It is only possible to deviate from these Purchase Terms if agreed in writing by us.

ii) Product

The website displays different types of Products from time to time namely:

i) BWG Circles merchandise
ii) Course Materials
iii) Circle’s partners Products

All Products shown on the website are subject to availability. This means that, although Circles strive to ensure the website reflects the availability of stock, a Product shown on the website may no longer be available for purchase.

Circles attempt to be as accurate as possible with the Product description. However, minor differences in colour and other variations in Products are possible as a result of different image acquisition, display technologies or other technical reasons. Circles are not liable for these variations and deviations. No rights can be derived from typing errors, Product descriptions or manifest errors on the Website.

iii) Formation of a Contract

The information stated in the Terms and Conditions and the details contained on this website do not constitute an offer for sale but rather an invitation to treat. No Contract in respect of any Products shall exist between you and Circles until the Product/Products has/have been shipped to your address.

To submit an order, you are required to follow the online shopping process on the website. The order confirmation will act as an acknowledgement of your order.

An Order is only considered accepted by Circles upon your order being shipped to the delivery address provided (for Circle’s merchandise) or when respective partners have delivered to you according to their delivery means (partner’s Product).

If your order consists of more than one Product, the Products may be delivered to you in separate packages at separate times.

iv) Pricing

The stated prices include GST. Prices are quoted in Singapore Dollar ($). Circles reserves the right to make price changes prior to an order placed by you. Delivery costs will be charged in addition where applicable; such additional charges are clearly displayed and included in the ‘Total’.

Circles reserve the right to change, limit or terminate any special offers or discounts at any time.

Additional costs such as shipping, handling, delivery, postage, insurance and if applicable, customs fees and other government taxes, will be specified and charged to you separately. The costs vary for each Product and type of delivery. All additional costs will be charged separately, itemised and added to the total amount of the order.

To minimise the risk of unauthorised access, Circles encrypt your card data. Once an order is received, Circles will request pre-authorisation on your card to ensure there are sufficient funds available to complete the transaction. Order will not be confirmed until this pre-authorisation check has been completed. Your card will be debited once we have sent you the Order Confirmation. Cards are subject to validation checks and authorisation by card issuers. Circles are not liable for any delay or non-delivery if required authorisation is not received.

v) Delivery

Circles aim to deliver Circles’ merchandise to you at the place of delivery requested by you in your order and the delivery time indicated at the time of your order checkout.

Circles’ Partners product delivery method will be communicated on their end to you. Circles will not be liable for any delivery matter regarding these Products.

Circles will attempt to notify you if there is a delay in the estimated delivery date, but, to the extent permitted by law, Circles shall not be liable to you for any losses, liabilities, costs, damages, charges or expenses arising out of late delivery.

All risk in the Product shall pass to you upon delivery.

vi) Return or Refunds

Circles handle every return inquiry on a case-by-case basis, so if in the unlikely event that the Product you ordered does not meet your expectations, please let us know within 10 days from receiving the goods. The sooner we hear from you, the more chance we have in rectifying any issues that may have arisen.

Entire Agreement

These terms and conditions including the documents incorporated herein by reference constitute the entire agreement relating to the subject matter of these terms and conditions and supersedes all prior or contemporaneous understandings regarding such subject matter.

Invalidity

In the event that any of these terms and conditions is held to be invalid, or are otherwise not permitted in any jurisdiction, the remainder of the terms and conditions will remain in full force and effect.

Governing Law and Jurisdiction

These terms and conditions and any non-contractual obligations arising out of or in connection with these terms and conditions, shall be governed by, and construed in accordance with, the laws of Singapore.

The Courts of Singapore shall have exclusive jurisdiction in relation to any claim, dispute or difference concerning these terms and conditions and any matter arising therefrom. Henceforth, the parties knowingly, voluntarily and intentionally waive to the fullest extent permitted by law any rights they may have to commence proceedings in any other forum, court or tribunal for such claims, disputes or differences concerning these terms and conditions.
